Terms and Conditions – AIPathway Labs

These Terms & Conditions (“Terms”) form a legally binding agreement between you (“User,” “you”) and AIPathway Labs Private Limited (“AIPathway Labs,” “Company,” “we,” “our,” “us”). These Terms govern all access to and use of our website (https://www.aipathwaylabs.com/), mobile applications, online programs, communication channels, and all services and materials provided by AIPathway Labs (“Platform”).
By accessing the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use of the Platform immediately.

1. Eligibility & Acceptance

You represent and warrant that:
• You are at least 18 years old or the legal age of majority in your jurisdiction.
• If under 18, you may use the Platform only under the supervision of a parent or legal guardian who accepts these Terms on your behalf.
• Parents/guardians accept full responsibility for a minor’s use, including financial obligations and liabilities.
• You have the legal authority and capacity to enter into a binding agreement and comply with all Terms herein.
Accessing or using the Platform constitutes acceptance of these Terms, including all future updates.

2. Scope of Platform & AI-Generated Content

The Platform includes:
• Websites, mobile apps, learning management systems
• Email, SMS, WhatsApp, phone communications
• Social media communities (WhatsApp groups, Facebook groups, Instagram pages, etc.)
• All instructional, analytical, or training materials provided to you, some Platform components may be operated by third-party service providers.

2.1 AI-Generated Instructional Content
AIPathway Labs uses AI and automated systems to generate some of the educational content, instructional material, analytics, and communications.
You agree and acknowledge that:
• AI-generated content may contain inaccuracies or require human review.
• It is provided strictly for educational and informational purposes.
• It should not be construed as professional, legal, academic, or financial advice.
• You must independently verify the accuracy and applicability of the content.
AIPathway Labs is not responsible for decisions made based on AI-generated outputs.

2.2 Automated Personalization & Insights
The Platform may use automated or machine-learning systems for:
• Personalization of content
• Learning analytics and performance insights
• Fraud detection
• Enhancing Platform safety and functionality
These systems do not make legally binding decisions about Users.

3. Modification of Terms

• AIPathway Labs may modify these Terms at any time without prior notice.
• Your continued use of the Platform constitutes acceptance of any modified Terms.
• If you disagree with updates, you must stop using the Platform and Programs.

4. Geographic Restrictions & Export Compliance

AIPathway Labs does not guarantee that the Platform or Programs are permissible or accessible in all jurisdictions. Accessing the Platform from regions where its use is illegal, is prohibited.
If you access the Platform from outside India:
• You do so at your own risk.
• You are solely responsible for compliance with local laws.
You further agree not to access, use, export, or re-export the Platform in violation of:
• Indian export laws
• International sanctions or export-control regimes
• Any applicable jurisdiction’s technology export regulations

5. User Accounts & Access

To enrol or participate in Programs, you must create a User Account.
You agree to:
• Provide accurate and updated information
• Maintain one account only
• Keep your login credentials confidential
• Not share, sell, or transfer your account to any other person
• Not access or attempt to access another User’s account
AIPathway Labs may terminate or restrict access if information is found to be false, outdated, incomplete, or misleading.

5.1 Information Collection
AIPathway Labs may collect Personally Identifiable Information (PII), performance data, course activity, and metadata, which may be shared with Educational Partners or third parties as needed to deliver services, improve offerings, or for marketing purposes, in accordance with our Privacy Policy.
You expressly authorize AIPathway Labs or its partners to contact you via phone (including numbers registered under DND/DNC/NCPR) for up to 365 days from registration.

6. Payments, Refunds & Cancellations

6.1 Payment Requirements
• Unless otherwise stated in writing, full Program fees must be paid at registration.
• Access to trial windows is granted only after full payment.

6.2 Refunds
• Program enrolments are strictly non-transferable. Please refer the Refund Policy.

6.3 Payment Process
• Payments are processed through third-party gateways.
• AIPathway Labs does not store credit card details or restricted financial information.
• Any loss or misuse of payment data stored by third-party providers is solely at your risk.

6.4 Payment Disputes
If you raise a chargeback or dispute:
• Program access may be immediately suspended.
• You remain liable for all fees if the dispute is denied by your payment provider.

7. Program Modifications, Scheduling & Availability

AIPathway Labs may:
• Modify or reschedule Programs, live lectures, webinars, or content
• Alter assignment weightage, evaluation criteria, or Program structure
• Limit, suspend, or terminate access to support services, mentors, coaches, or certifications
The Company is not obligated to maintain or continue any part of the Platform or Programs.
Service interruptions may occur due to force majeure events including natural disasters, war, riots, epidemics, satellite failures, utility disruptions, or other uncontrollable circumstances.

8. Equipment & Connectivity

You are solely responsible for:
• Hardware, software, and internet connectivity
• Ensuring compatibility with Platform requirements
• All costs associated with accessing the Platform
AIPathway Labs is not liable for issues arising from inadequate equipment or connectivity.

9. User Responsibilities & Code of Conduct

You agree not to:
• Harass, threaten, or harm others
• Create hostility or disrupt learning communities
• Cheat, plagiarize, or share solutions to coursework
• Post restricted exam materials
• Spread malware, phishing content, or engage in unauthorized data collection
• Use bots, scripts, or automated systems to access the Platform
• Upload or share illegal, defamatory, obscene, hateful, or infringing content
• Misrepresent information or impersonate others
AIPathway Labs may report unlawful behaviour to authorities without notice.

10. User Content

User Content includes forum posts, project submissions, interactions, chat messages, profile details, or any content uploaded by you.

10.1 License to AIPathway Labs
By submitting User Content, you grant AIPathway Labs an irrevocable, worldwide, perpetual, royalty-free license to use, reproduce, modify, adapt, publicly perform, display, and distribute such content, including for commercial purposes, and to sublicense these rights.
You represent that:
• You own the rights to the content
• It does not infringe third-party rights
• You have obtained necessary permissions and paid applicable fees
AIPathway Labs may remove User Content at any time.

11. Intellectual Property Rights

• All Platform content, including AI-generated content, text, software, scripts, graphics, videos, audio, presentation materials, code, assignments, assessments, branding elements, layouts, and files are owned by AIPathway Labs or its licensors.
• This content is protected by Indian and international copyright, trademark, patent, trade dress, and other intellectual property laws.

11.1 AI-Generated Content Ownership
All AI-generated content, unless otherwise specified, is owned by AIPathway Labs and licensed to Users for personal, non-commercial educational use.

11.2 Prohibited Uses
You may not:
• Reproduce, resell, redistribute, publish, or commercially exploit Platform content
• Use content to train external AI models
• Create derivative works based on Platform materials
• Upload content to public platforms (social media, torrent sites, file-sharing services)
• Use content for institutional or corporate training without written consent
• Circumvent digital rights management (DRM) or access-control systems

12. License Grant

• You receive a limited, revocable, non-exclusive, non-transferable license to use the Platform for personal, non-commercial purposes.
• Reverse engineering, decompiling, or attempting to access source code is strictly prohibited.

13. Security Obligations

Users are prohibited from:
• Accessing systems without authorization
• Probing, scanning, or testing network vulnerabilities
• Interfering with services (flooding, malware, mail bombing)
• Forging headers or manipulating technical identifiers
Violations may result in civil or criminal liability and referral to law enforcement.

14. Disclaimers

The Platform, Programs, and all content (including AI-generated content) are provided “as-is” and “as available,” without any warranties (express or implied).
AIPathway Labs does not warrant:
• Accuracy, completeness, or reliability of content
• Error-free, uninterrupted, or secure service
• Correction of defects
• Any academic, professional, or financial outcome (including salary hikes or promotions)
You access content at your own risk.

15. Limitation of Liability

To the fullest extent permitted by law:
• AIPathway Labs is not liable for indirect, incidental, special, punitive, or consequential damages.
• Total liability shall not exceed the greater of:
o ₹999, or
o The fees paid by you for the relevant Program.

16. Third-Party Services & Links

• The Platform may include links to third-party sites and services (including Vimeo).
• AIPathway Labs does not control or endorse third-party content and is not responsible for external sites, services, or transactions.
• Users must comply with third-party terms.
• You may not create links to the Platform without prior written approval from AIPathway Labs.

17. Indemnification

You agree to indemnify and hold harmless AIPathway Labs, its affiliates, Educational Partners, officers, employees, and agents from any claims, damages, liabilities, or expenses arising from:
• Your use or misuse of the Platform
• Violations of these Terms
• User Content
• Violations of applicable laws

18. Account Termination & Data Retention

AIPathway Labs may deactivate or terminate accounts, with or without notice, for:
• Violations of these Terms
• IP infringement
• Unauthorized content posting
• Misrepresentation or unethical behaviour
User information may be retained post-termination as required by law or legitimate business purposes.

19. Electronic Communications Consent

By using the Platform, you consent to receive:
• Emails
• SMS messages
• WhatsApp messages
• Platform notifications
All communications sent electronically satisfy legal notice requirements.

20. Assignment

• AIPathway Labs may assign its rights or obligations at any time.
• Users may not assign or transfer their rights under these Terms without written approval. Any unauthorized assignment is void.

21. Governing Law & Dispute Resolution

These Terms are governed by the laws of India.
All disputes shall be:
• Resolved first through good-faith negotiation.
• If unresolved, referred to arbitration under the Arbitration and Conciliation Act, 1956 (as amended), conducted in English.
• The seat of arbitration is Malegaon (District Nashik), Maharashtra, which also has exclusive jurisdiction over all legal proceedings.

22. Severability, Force Majeure & Waiver

• Invalid provisions will be severed without affecting the remainder of the Terms.
• AIPathway Labs is not liable for failure to perform due to events beyond reasonable control (natural disasters, war, terrorism, strikes, internet failures, etc.).
• Failure to enforce any provision does not constitute a waiver.
